We are very pleased to announce that the general partnership of Rothera Bray Solicitors (the “Partnership”) converted to an LLP on 12 September 2022. An LLP (Limited Liability Partnership) is the most common structure for professional service firms and many law firms have converted to an LLP in recent times.
The new business structure fits with the Rothera Bray business plan. We are excited to say that it allows us to take our next steps for the benefit of our people and our clients.
From 12 September 2022, Rothera Bray Solicitors LLP, a limited liability partnership registered in England and Wales with number OC442163 (the “LLP”) has assumed the liabilities and obligations of the Partnership. Our client service will not change, and all of our people will continue to work as usual to progress matters which you instructed the Partnership to deal with, under the assumed responsibility of the LLP.
Should you have any questions, please first review our FAQs below. If you wish to contact us to discuss this further, please do not hesitate to get in touch.
Frequently Asked Questions
1. What is the new name of the firm?
Whilst we will continue to trade using the trading name “Rothera Bray”, the firm name is Rothera Bray Solicitors LLP. Our letter head and invoices will refer to our new name of Rothera Bray Solicitors LLP.
2. Will the LLP still be regulated by SRA?
Yes. The LLP is authorised and regulated by the Solicitors Regulation Authority (“SRA”). The SRA has approved our application to convert to a LLP. Our new SRA number is 8000973.
3. How does the conversion affect you?
In all material respects, you will not be affected by the conversion.
Pursuant to our values, we pride ourselves in the relationships we build and develop and it is important to us to provide our service with excellence, in an open and responsive way. The same people will be carrying out your work from one of our premises (or remotely).
The change should not affect you on a day-to-day basis. The main difference is that your client retainer will be with Rothera Bray Solicitors LLP. As previously stated, there is no change to our client service commitments, our obligations to you and our culture as a business.
The LLP has assumed the rights and liabilities under your retainer with the Partnership. The transfer includes any work related documents, records, and confidential/privileged information. We have proceeded with the conversion on the basis that your continuing instructions will be confirmation that you are happy to instruct Rothera Bray Solicitors LLP to act for you on the same basis on which you instructed the Partnership (save as where we may notify you otherwise), and to hold any client monies on your behalf after the conversion.
4. Professional Indemnity Insurance
The conversion to an LLP will not affect the level of professional indemnity insurance we have in place.
5. Who are the “Partners”?
A list of the Members of the LLP is maintained at our registered office at 2 Kayes Walk, Stoney Street, Nottingham, NG1 1PZ.
Any reference to the term “partner” moving forward, shall refer to a person who is a member of the LLP.
6. What happens to the money we are holding for you?
Any monies that we held for you in our client account prior to 12 September 2022 has now been moved to the client account of Rothera Bray Solicitors LLP to be held on your behalf. The conversion will not affect the terms on which the monies are held, nor will it affect our regulatory obligations in relation to client monies.
The name on our accounts will change to reflect our new name, but for cyber security reasons our sort codes and account numbers will remain the same.
